Our Mergers and Acquisitions Group coordinates with other firm groups in order to provide an integrated approach to transactions, divestitures, and other sales of businesses. This approach includes experience in tax, real estate, title and lease review, environmental due diligence, remediation, compliance, employee benefits including qualified plans, severance plans, and postretirement obligations, intellectual property due diligence, licensing, assignments, security interests, supply, distribution, and manufacturing contracts.
An important component of our merger and joint venture practice is antitrust and trade regulation compliance counseling, including advice with respect to U.S. and foreign competition, notification and review requirements, as well as pretransaction information flow and strategic approaches to government concerns and responses.
We bring a constructive and imaginative outlook to business transactions, believing that clients require solutions, not just legal analyses of their problems. We know how to accommodate simple transactions as well as those that require a significant degree of specialized experience. We regularly work with clients with diverse needs and budgets.
We work well with general counsel and in-house legal teams in flexible, shared-responsibility arrangements. Often, we are part of a transaction team working with one or more of a client's specialty and foreign law firms in areas such as antitrust, Employee Retirement Income Security Act (ERISA), tax, and other areas.
