Biography
Rachel Jaffe Mauceri is a corporate bankruptcy and restructuring lawyer with more than 19 years’ experience counseling clients in complex bankruptcy and restructuring matters. She participates in all aspects of domestic and international restructurings, representing debtors, financial institutions, bondholder groups and ad hoc committees, private equity sponsors, and other significant parties in interest. Rachel is known as a strong communicator and collaborator with a record of success in developing client relationships across disciplines. She is counsel in the firm’s Bankruptcy + Reorganizations Group and is resident in the Philadelphia office.
Rachel has significant transactional and litigation experience in a range of industries, including retail, energy, automotive, oil and gas, mortgage servicing, health care, and telecommunications. She has both extensive debtor-side and creditor-side experience, including, representing companies in pre-negotiated and traditional bankruptcy proceedings as well as out-of-court workouts; representing borrowers and financial institutions in the negotiation and documentation of secured lending facilities; advising indenture trustees and second lien lenders; representing pension and health plans in connection with collective bargaining issues and proceedings under sections 1113 and 1114 of the Bankruptcy Code; advising clients on restructuring alternatives; representing stalking horse and other bidders in distressed and bankruptcy-related transactions; leading teams through the bankruptcy, from diligence and first-day preparation through the negotiation, documentation, and litigation of case resolution; and advising contract parties and other significant creditors and parties in interest on a variety of bankruptcy-related matters, including critical vendor, lease and contract assumption and rejection issues, avoidance actions and other claim- and contract-related matters.
Rachel writes regularly on current issues and topics in bankruptcy and regularly moderates and participates in panel discussions on bankruptcy-related matters. She is an active member of the Turnaround Management Association, currently serving as co-chair of both TMA’s Global Network of Women and its Mid-Atlantic Regional Symposium, and as a member of TMA Global’s board of directors and as President-elect of the board of TMA’s Philadelphia-Wilmington chapter. Rachel also is a member of the American Bankruptcy Institute and the International Women’s Insolvency & Restructuring Confederation, and a board member of the Consumer Bankruptcy Assistance Project and Beth David Reform Congregation. She is co-chair of the 2021 VALCON conference and was a member of the VALCON advisory board from 2018-2020.
While in law school, Rachel interned for Judge Prudence Beatty Abram of the U.S. Bankruptcy Court for the Southern District of New York.
