Stephen Hanson is a member of the firm's Business Transactions Group, and he focuses his practice in the areas of private equity, venture capital and emerging companies, and general corporate matters.
Mr. Hanson routinely represents financial sponsors such as private equity, mezzanine debt (including Small Business Investment Companies), venture capital, and hedge funds; their respective portfolio companies, principals, sponsors, and investors; and other privately-held companies. He assists clients with domestic and cross-border merger and acquisition transactions, leveraged buyouts, joint ventures, and equity and debt financings. Mr. Hanson has handled numerous multi-million dollar private equity transactions during his career.
Venture Capital and Emerging Companies
Mr. Hanson assists start-up and emerging companies across a range of industries with their business transactions, such as handling financing, structuring investments, and negotiating commercial agreements. Mr. Hanson also represents venture capital funds and corporate venture investors in convertible note and equity financings, and he routinely provides advice to their portfolio companies.
Mr. Hanson counsels business clients of all sizes on general corporate matters, including entity formation, corporate governance, commercial and employment agreements, licenses, and contracts. Mr. Hanson assists a variety of businesses, and he has particular experience advising clients in the retail and consumer goods, digital media, manufacturing, publishing, and food and beverage industries.
Mr. Hanson has more than 20 years of experience focusing on private equity, private mergers and acquisitions, and venture capital and emerging companies, including with O'Sullivan Graev & Karabell, LLP (and O'Melveny & Myers following their merger). More recently, Mr. Hanson was a partner and the global co-chair of the Private Equity Practice Group at Dorsey & Whitney, LLP, and a partner with DLA Piper.
