Biography
Katilee Boisvert represents companies in a variety of aspects of corporate and transactional law, including commercial financing and general corporate and commercial matters. Although not her current primary area of practice, she has historically assisted on mergers and acquisitions matters as well.
Commercial Contracting Matters
Katilee has extensive experience in drafting, reviewing and negotiating commercial contracts, with a focus of working with national and international manufacturers through and a part of the manufacturing law group at the firm. These contracts and commercial matters include general terms and conditions, manufacture and supply agreements, supply agreement, sale agreements, and equipment purchase agreements. Her unique expertise in this area allows her to guide her clients through the legal review and negotiation process while keeping in mind their specific business needs and model.
Prior to joining the firm, Katilee practiced at a major business law firm in Hartford, Connecticut, where she worked on mergers and acquisitions, corporate, commercial lending, commercial real estate, not-for-profit and healthcare matters and, before that, at a major law firm in Springfield, Massachusetts likewise working in the transactional space.
General Corporate Matters
Katilee’s practice involves providing advice on general corporate and business matters to existing companies or start-up companies, including choice of entity, corporate governance, and restructuring. She has assisted many companies with formation, review of corporate governance documents, director/manager or stockholder/member meetings, creation of advisory boards, forward and reverse stock splits, appraisal rights, intercompany mergers, and the like. She has worked with both domestic companies and international companies with domestic subsidiaries on a variety of these matters.
Commercial Financing
Katilee has extensive experience representing clients in all aspects of secured and unsecured lending, mezzanine and other senior and subordinated lending. Her experience includes asset-based financing, mortgage financing, acquisition financing, and precious metals lending. She has represented borrowers, banks, funds and other lenders in a variety of lending structures, which provides insight into how to best structure, negotiate and document financing transactions for her clients.
