Robinson+Cole Represents Prime Number Acquisition I Corp. in Complex deSPAC Transaction with noco-noco Pte. Ltd.

Robinson+Cole is pleased to announce that it has represented Prime Number Acquisition I Corp. (PNAC) in the closing of its business combination with noco-noco Pte. Ltd. (noco-noco), a Singapore developer of decarbonization solution technologies. The transaction, valuing the post-combination combined entity at $1.35 billion, was announced on December 29, 2022, and was closed on August 25, 2023. The combined public company, noco-noco Inc. (Nasdaq: NCNC), commences trading on the Nasdaq Capital Market on Monday, August 28, 2023.

Anna Wang and Tim Chen Volunteer for AABANY Pro Bono Clinic

Capital Markets + Securities Team lawyers Jinhua (Anna) Wang and Tiange (Tim) Chen volunteered at the Asian American Bar Association of New York’s (AABANY) Pro Bono Legal Clinic in Chinatown, NY on May 17, 2023. AABANY’s monthly Pro Bono Legal Clinic provides community members in need, many of whom have limited English proficiency, with general legal information and consultations on a myriad of matters involving housing, immigration, criminal law, fraud, family and matrimonial law, wills, small business loans, etc. Since opening in 2015, the Legal Clinic helped many individuals in the Asian American community in New York through its walk-in clinics. Tim Chen Named to Lawyers of Color’s Annual Hot List

Capital Markets + Securities team lawyer Tim Chen has been named to the Lawyers of Color Hot List 2022, which recognizes early- to mid-career attorneys excelling in the legal profession. Tim is featured in the publication’s annual Hot List issue released on December 19, 2022. The honorees were chosen through a two-pronged process that included months of nomination and legal publication review by a selection committee to identify quality candidates. Robinson+Cole Welcomes Three-Attorney Capital Markets + Securities Team

Robinson+Cole’s growth in its New York City-based Capital Markets + Securities Team was highlighted in a Law360 article published on March 4, 2022. The article, “Robinson & Cole Grows In NY With 3-Atty SPAC Team,” highlights the recent additions of partner, Arila Zhou, and associates Yang Xu and Tiange (Tim) Chen. The team handles capital markets and securities matters with an emphasis on special purpose acquisition corporation (SPAC) transactions and initial public offerings of foreign issuers, particularly from Asia. Zhou, Xu and Chen, all native Mandarin speakers fluent in English, were previously with Hunter Taubman Fischer & Li in New York.

Last month, the team represented the lead underwriter in the IPO of Meihau International Medical Technologies, a manufacturer of disposable medical devices with operating subsidiaries in China – the first such company to list in the U.S. since July 2021.
