Biography
Ze’-ev Eiger represents foreign and domestic investment banks, private equity groups, and public and private companies in connection with a wide variety of transactions, including debt and equity offerings, venture financings, structured financings, restructurings and liability management transactions, and mergers and acquisitions, as well as compliance and corporate governance matters. Ze’-ev has extensive experience working with a wide range of issuers, including financial institutions, biotechnology/health care companies, technology companies, startups, special purpose acquisition companies (SPACs), real estate investment trusts (REITs), business development companies (BDCs) and closed and open-end funds.
Ze’-ev has broad transactional experience, including traditional IPOs, SPAC IPOs, Regulation A offerings, secondary offerings, follow-on offerings, private placements, “private investment in public equity” (PIPE) transactions, crowdfunding offerings, token offerings, registered direct offerings, convertible note offerings, hybrid offerings, structured note and derivative offerings, rights offerings, high yield offerings, tender offers, exchange offers, consent solicitations, warrant auctions, foreign and domestic medium-term note (MTN) programs, “at-the-market” (ATM) programs, warrant programs, American depositary receipt (ADR) programs, certificate of deposit (CD) programs, commercial paper (CP) programs, M&A transactions, and de-SPAC transactions.
Ze'-ev also advises clients on various issues under, among others, the Securities Act, the Exchange Act, the Investment Company Act, the rules and regulations of various securities exchanges, such as the New York Stock Exchange and Nasdaq, FINRA rules and state securities (blue sky) laws.
