Anna Wang, Choity Khan and Stephani Roman Receive "Lawyers of Color" Recognitions

Business Transactions Group lawyer and partner in charge of the New York office Anna Wang has been named to the inaugural Lawyers of Color (LoC) Wonderful Women list, which recognizes dynamic women attorneys working in law firms, companies, and government agencies across the U.S. who show promise in their careers and demonstrate a strong commitment to advancing diversity in the legal profession. In addition, Construction Group lawyer Choity Khan and Insurance + Reinsurance Group lawyer Stephani Roman have been named to LoC’s Hot List 2023, which recognizes early- to mid-career attorneys excelling in the legal profession. All three lawyers will be profiled in the publication’s annual Hot List 2023 issue later this year. Honorees for both designations were chosen through a two-pronged process that included months of nomination and legal publication review by a selection committee to identify quality candidates. Editorial selections were also made based on research of attorneys who had noteworthy accomplishments, with special attention to candidates who were active in diversity pipeline initiatives. LoC is a nonprofit devoted to promoting diversity in the legal profession and advancing democracy and equality in marginalized communities.

Anna Wang and Tim Chen Volunteer for AABANY Pro Bono Clinic

Capital Markets + Securities Team lawyers Jinhua (Anna) Wang and Tiange (Tim) Chen volunteered at the Asian American Bar Association of New York’s (AABANY) Pro Bono Legal Clinic in Chinatown, NY on May 17, 2023. Capital Markets + Securities Team Serves as Underwriting Counsel in Xiao-I Corporation IPO

Robinson+Cole’s Capital Markets + Securities Team (the Team) served as counsel to Prime Number Capital LLC, the lead underwriter and lead book-running manager in the initial public offering of 5,700,000 American Depositary Shares (ADSs) of Xiao-I Corporation (Xiao-I), a leading cognitive artificial intelligence enterprise in China. Each ADS represents one-third of an ordinary share of Xiao-I. The ADSs began trading on the Nasdaq Global Market under the ticker symbol "AIXI" on March 9, 2023. The Team advising on the offering was led by Arila Zhou and Anna Jinhua Wang, and included Ze'-ev D. Eiger, Eve Hongye Mao and Emmett Tan. Anna Wang Receives Third Recognition for Pro Bono Service Provided to the New York State Courts Access to Justice Program

Business Transactions Group lawyer Anna Jinhua Wang was once again selected to receive a certificate of recognition as part of the New York County Lawyers Association’s virtual Pro Bono Awards ceremony for her dedicated service to the New York State Courts Access to Justice Program. This is the third year Anna has been recognized for her pro bono service to the Program. Hosted with the New York State Bar Association and New York State Unified Court System’s Office for Justice Initiatives in celebration of National Pro Bono week, the ceremony took place on October 25, 2022. The New York State Courts Access to Justice Program is one of the Unified Court System’s many programs and initiatives which strive to increase access, improve the delivery of justice and promote public confidence in the courts.

Capital Markets + Securities Team Pleased to Represent Prime Number Capital LLC in IPO of Meihua International Medical Technologies

Robinson+Cole’s Capital Markets + Securities Team (the Team) represented Prime Number Capital LLC, the lead underwriter in an initial public offering of Meihua International Medical Technologies (Nasdaq ticker symbol “MHUA”), a manufacturer and provider of disposable medical devices with operating subsidiaries in China. At the closing of the IPO on February 18, 2022, a total of 3,940,000 ordinary shares of MHUA, listed on Nasdaq Global Market, were sold at a public offering price of $10.00 per ordinary share (the "Ordinary Shares"), including 340,000 Ordinary Shares issued pursuant to the partial exercise of the underwriters' over-allotment option, for aggregate gross proceeds of $39.4 million before deducting underwriting discounts and commissions and offering expenses. The successful share sale makes MHUA the first China-based company to list in the U.S. since July 2021. Anna Wang Receives Recognition for Pro Bono Service

Robinson+Cole Lawyers Co-Author Article on Contractual Considerations for Italian Companies Doing Business in the U.S.

Business Litigation Group Chair Edward J. Heath, Manufacturing Industry Practice Chair Jeffrey J. White and Business Transactions Group member Anna Jinhua Wang co-authored the article “Contractual Considerations for Italian Companies Doing Business in the United States in The COVID-19 Era,” published in the July 2020 issue of the Italy – Connecticut Journal of International and Comparative Business Law. The publication is intended to inform, educate, engage and connect lawyers in Rome and Connecticut by creating a forum for members in both legal communities to share ideas, connect with each other, and share professional experiences. As noted in the introduction, the “Journal is part of a novel collaboration between the Order of Business Lawyers of Rome, which is the largest in Europe, and the Hartford County Bar Association, which is the oldest in the United States of America.”

As the world continues to adjust to the “new normal” of the COVID-19 era, Italian companies doing business in the United States, or those planning to do so, also are adjusting to new norms in contractual relations with U.S.-based companies. The article authored by Ed, Jeff, and Anna looks at certain critical areas of U.S. contractual law that have gained attention as a result of the pandemic and also offers a high-level comparison of some common business structures that may be used by Italian companies to conduct their U.S. operations. One area of focus is force majeure, which is contained in many U.S. contracts and serves as an avenue for delaying obligated performance due to certain unanticipated events. Another area of attention focuses on the law of price gouging and examines whether companies can raise their prices to account for supply chain disruptions or other events. Anna Jinhua Wang Attends the 2019 SelectUSA Investment Summit

Business Transactions Group member Anna Jinhua Wang attended the annual SelectUSA Investment Summit in Washington, D.C. from June 10-12, 2019. The Investment Summit is dedicated to promoting foreign direct investment (FDI) in the United States, connecting qualified foreign firms directly with U.S. economic development organizations to help facilitate business investment and job creation. It plays a vital role in attracting and facilitating international investment into the U.S. by raising awareness of the wide range of opportunities and positive business climate and facilitating vital direct connections between investors and economic development organizations. 

The Investment Summit allows international investors, from start-ups to medium-sized enterprises to multinationals, to hear from high-profile CEOs, senior executives, and U.S. government leaders, who set the tone for business and investment policies and trends in the United States. 

The 2019 event attracted some 2,000 attendees, including representatives from U.S. state and local governments, U.S. economic development organizations, and advisors, service providers, companies, chambers of commerce, and associations facilitating FDI into the U.S. During the Summit, Anna met with some of the delegates from China, Hong Kong and Taiwan, among others.
