Executive Compensation

The Employee Benefits and Compensation Group advises public and private companies, boards of directors, compensation committees, and individual executives on a wide range of executive compensation matters. We work closely with our clients’ compensation consultants and accounting experts to provide advice in tax, securities, corporate fiduciary and related areas, including the Employee Retirement Income Security Act (ERISA).

  • Executive and outside-director compensation and incentive programs

  • Senior executive employment and separation agreements 

We also provide counsel on the tax consequences of these programs and arrangements. We assist in structuring them to comply with ERISA, Section 409A, and Section 457(f) (for tax-exempt organizations) and provide guidance on Section 162(m), 280G and 4960 issues. We also advise compensation committees of public companies to ensure they comply with Securities and Exchange Commission disclosure and reporting requirements.
