Tax + Exempt Organizations

Recognizing that taxes affect every aspect of the business environment, our tax lawyers work closely with all of the firm's practice groups. Our Tax Group helps clients understand and navigate the federal, state, and local tax consequences of their business transactions, including mergers and acquisitions, financing and securities transactions, spin-offs and buyouts, purchases and sales of real estate and other property, and capital market transactions.

We also represent clients in efforts to change state and local tax laws, in the tax planning and representation of various transactions, and in connection with federal and state tax controversies, administrative appeals, and court appeals in both civil and criminal tax cases.

Our tax practice also includes the following:

  • advising on cross-border business transactions and investments (inbound and outbound)
  • advising on taxation of financial institutions and financial products
  • advising on the tax considerations of debt workouts for both large public and closely held businesses
  • advising real estate investment trusts (REITS) in connection with all of their tax-related issues
  • negotiating state and local tax incentives
  • negotiating the content of state tax regulations and state tax rulings

Members of our Tax Group have substantial experience assisting clients in connection with a variety of complicated federal tax matters, including advice and planning with respect to business transactions, investment and financing structures, capital market transactions, and business arrangements that transcend state and national boundaries.

We have been pioneers in the practice of state tax law. Our state tax lawyers have been recognized in Connecticut and the United States through serving as authors in, and editors of, nationally recognized state tax journals, as speakers at conferences of business and professional groups, and as leaders within the tax sections of both the American and state bar organizations. Our state tax practice includes representation and advice on income, franchise, sales and property, and numerous industry-specific state taxes.

    • Experience
      • Federal Tax Representation

      • Represented an investment advisor’s cross-border sale of its broker dealer business to a French bank, which was structured as a tax-free stock-for-stock exchange under Internal Revenue Code section 368(a)(1)(B).*
      • Represented a large privately held electrical supply distribution business in its sale to a private equity-sponsored buyer. The representation involved resolution of 280G considerations and "applicable high-yield debt obligation" concerns with respect to debt financing.
      • Represented a multi-industry company, whose principal activities are to design and manufacture nickel-zinc rechargeable batteries, in connection with its acquisitions of Sontek Industries Inc. in a tax-free merger involving management of net operating losses and Internal Revenue Code section 382 considerations.
      • Representation of borrowers and lenders with respect to tax aspects of cross-border financings, including withholding tax and subpart F issues.
      • Mediated alternative dispute resolution in U.S. Tax Court matters.
      • Analyzed and advised client contemplating S corporation regarding the second class of stock implications resulting from restricted stock arrangements
      • Represented a Singapore-based software developer in connection with U.S. federal income tax matters involving U.S.-based internet and distribution activities.
      • Represented a Boston-based private equity firm in all of its merger and acquisitions activity and post-acquisition restructurings of its portfolio companies.
      • Represented a multinational manufacturer and distributor of perfumes and beauty products in connection with U.S. federal income tax planning involving European operations.*
      • Represented a Canadian paper products company in connection with acquisition of operating assets in the United States, involving attention to the earning stripping rules and the Canada U.S. income tax treaty.
      • Represented a leading industrial packaged gas company in the sale of its business through a bid auction process. Our representation involved drafting the shareholder proxy materials (including tax disclosure). The transaction was structured as a taxable reverse triangular merger.
      • State Tax Representation

      • Counseled taxpayer in Foodways National v. Crystal regarding treatment of public warehouse space for apportionment purposes.

      • Successfully represented high-income taxpayers in residence/domicile disputes with Connecticut Department of Revenue Services.

      • Representation of American Honda in Connecticut litigation regarding the inclusion of registration fees in sales tax gross receipts.
      • Represented taxpayer in Steelcase, Inc. v. Crystal regarding sales tax on drop shipments.

      • Represented taxpayer in Toys 'R' Us v. Gavin and numerous other appeals regarding special purpose holding companies.
      • Collaborated with Connecticut Department of Revenue Services on legislation clarifying application of corporate tax to corporate partners.
      • Represented corporate partners in litigation relating to passthrough of corporate tax credits.
      • Provided an opinion regarding the application of Connecticut's sales and use tax exemption for the purchase of large aircraft.
      • Represented corporation in settlement of dispute regarding allocation of goodwill following acquisition.
      • Assisted resident general contractors and nonresident contractors to comply with Connecticut law.
      • Advised clients regarding residence of trusts, taxability of trusts, and reformation of foreign trusts.
      • Advised clients regarding discharge of indebtedness issues.
      • Assisted estate in resolving erroneous probate and tax filings.
      • Represented client in State tax audit related to Son-of-Boss-type transaction.
      • Successfully represented several taxpayers in multistate nexus and voluntary disclosure matters.
      • Proposed and secured approval of innovative approaches to tax compliance for nonresident contractors.

      • Represented taxpayer in securing favorable sales and use tax treatment of sale-leaseback transactions in Connecticut and Massachusetts.
      • Successfully resolved Connecticut audits of purchases of high-value art and yachts.
      • Represented taxpayer in appeal of Connecticut-listed transaction assessment.
      • Represented taxpayers in domicile and residency audits.
      • Represented a generator of electricity in connection with a Connecticut corporation business tax audit and administrative appeal relating to application of fixed capital investment credits and successful settlement of the issues presented.
      • Drafted new insurance reinvestment fund tax legislation in Connecticut and represented a group of venture capital partnerships in establishing an insurance reinvestment fund approved by the Connecticut Department of Economic and Community Development to channel investments by insurance companies into start-up or emerging businesses in Connecticut. These types of funds exist in some other states and are commonly referred to as Capco Funds.

      • Counseled taxpayer in Foodways National v. Crystal re treatment of public warehouse space for apportionment purposes.
      • Counseled taxpayer in America Online, Inc. v. Gavin re Connecticut sales tax on accessing the Internet.
      • Coordinated federal, state, and local project permitting for over twenty new or expanded supermarkets in Connecticut, Massachusetts, and New York.
