Associate Attorneys’ job duties include the following: Responsible for the representation of underwriters and/or placement agents or broker-dealers in diverse capital market transactions including without limitation initial public offerings, secondary market offerings, registered direct offerings, and private placements, preparation of relevant filing and responses with Financial Industry Regulatory Authority in connection with the transactions. Responsible for supporting senior attorney or partners representing companies on securities offerings and capital market transactions including without limitation preparing relevant legal memorandum, leading due diligence and generating due diligence memorandum, drafting business of clients and other relevant disclosures, preparing form of and exhibits to filings with the U.S. Securities and Exchange Commission, preparing transaction documents and corporate related documents, and generating closing binders. Responsible for assisting public companies with satisfying their listing compliance, reporting obligations and corporate governance including without limitation preparation of Section 16 filings and other beneficial ownership filings, preparation of filings requested by the Securities Exchange Act of 1934, as amended, preparation of proxy statements for shareholder meetings, preparation of notifications to applicable stock exchanges and compliance plan if needed, preparing board and committee materials, resolutions or meeting minutes for boards of directors or shareholders, preparing the corporate governance documents, policies and providing relevant trainings to clients. Communicating with and managing relationships with Mandarin speaking clients in writing and verbally. 100% remote; may work from home.

 

 Successful candidates must possess at least a Master of Law degree or its equivalent, a license to practice law in New York, Connecticut or Massachusetts, and at least one year of experience as an Attorney or in a related role. Must also possess the following: demonstrable proficiency in Mandarin, including speaking, as well as writing and reading legal documents as part of cross-border transactions and capital markets; at least one year of experience with U.S.-China cross border mergers and acquisitions, and securities offerings; at least one year of experience with capital markets related work for both issuers and underwriters including drafting registration statements and FINRA filings; and at least one year of experience with initial public offerings and secondary market offerings (including private placements and registered direct offerings), and filings under the Securities Exchange Act of 1934.

 

Please note that the target base salary range for this position is $165,000 to $195,000.
