Health Care Information Technology

Health care information technology (HIT), such as telehealth, artificial intelligence solutions, clinical information systems, and electronic health records, is transforming the health care industry and creating opportunities for health care–focused organizations. Robinson+Cole collaborates with health systems, hospitals, clinically integrated networks, HIT vendors, health information exchanges, and other health care industry companies in navigating the complex legal, regulatory, business, and financial risks involved with developing, licensing, implementing, and using HIT.

We regularly negotiate agreements regarding the procurement of HIT, including software, software-as-a-service (SaaS), and platform-as-a-service (PaaS) license agreements and related service-level agreements and maintenance and support agreements. We also assist our clients with obtaining and maintaining appropriate intellectual property protections in HIT they have developed.

Our team advises clients on the intricate regulatory landscape facing HIT. We guide our clients through compliance with the Health Insurance Portability and Accountability Act (HIPAA) and state data privacy laws, telehealth licensure and other regulatory requirements, the Anti-Kickback Statute and the Stark Law, and information blocking laws. We further counsel our clients on their compliant use and licensing of data to enable their use of data to coordinate care, improve outcomes, and more efficiently provide their services.

Robinson+Cole’s HIT lawyers also represent and advise clients on the outsourcing of varied information technology functions and business processes, including application implementation, maintenance, and development services, data center services, and help desk and user support services.

Our team’s legal and regulatory knowledge and experience in the health care industry provides a deep understanding of the goals and challenges faced by our clients’ development, acquisition, and use of HIT, and allows us to craft creative solutions to meet our clients’ needs.

Electronic Medical Record Hardware Purchase

Representation of physician hospital organization in connection with purchase of electronic medical record hardware and software, including fraud and abuse and tax exemption advice regarding donation of electronic medical record software and services by a hospital to physicians, structuring the transactions between the physician hospital organizations and the physician users and hospital donor and drafting and negotiating all contracts with the electronic medical record vendor and the physician users.

Middleware Software Acquisition

Representation of hospital in connection with acquisition of middleware software for electronic health records, including fraud and abuse and tax exemption advice in connection with the donation of such software to physicians.

Outside General Counsel

Regular representation of hospitals, integrated delivery systems, nursing homes, continuing care retirement communities, physician groups, outpatient clinics and other health care providers as outside general counsel. Regularly advise these clients in matters of corporate governance, contracts, regulatory compliance, corporate compliance, risk management, policies, fundraising and tax exemption, employment, labor and litigation. Work closely with senior management and/or general counsel in transactional and day-to-day risk management and operational issues.
