Our Commercial + Industrial (C+I) Lending practice group lawyers assist clients across the United States. We represent lenders and borrowers in a variety of highly-sophisticated secured and unsecured financing transactions—including those secured by, or based on, all types of real estate and personal property.

We work with banks and their special finance and merchant banking affiliates, and with insurance companies, venture and opportunity funds, financial subsidiaries of major industrial corporations, and other financial intermediaries.

Our Services

Our lawyers represent banks, insurance companies, private equity funds, and other financial services providers in connection with the following types of commercial and industrial lending transactions:

  • Leveraged acquisition financings and bridge loans
  • Multi-tiered subordinated debt financings
  • Private placement of debt, equity, and convertible securities
  • Precious metal consignments and precious metal inventory financing

We also support our clients with secured and unsecured revolving credit, line of credit and term loan single and multiple lender credit facilities—including facilities with multirate and multicurrency options, letter of credit options, interest rate swaps, caps and collar and currency swaps. We are experienced with secured and unsecured general corporate loans, and with structured asset-based financings, project finance conventional loans, and construction loans.

Our Team

Our C+I Lending team attorneys apply their experience in corporate finance and institutional lending to each transaction. We collaborate with colleagues throughout our firm, providing full-service solutions for acquisition financings, or financings involving federal and state securities, as well as intellectual property, environmental, ERISA, real estate, and tax issues.

To minimize insolvency risks, we also work closely with our business workouts, bankruptcy, and creditors' rights practitioners to advise our clients on enforcement mechanisms, collateral realization, and structuring transactions.

Credit Facilities for Indian Tribal Nations

Represented lenders in connection with credit facilities extended to Indian tribal nations involving a variety of sovereign immunity and related issues.

Indian Tribal Nation Counsel

Represented Indian tribal nation as special counsel and bond counsel in connection with structuring, negotiating, documenting, and consummating an ongoing series of debt financings, involving a variety of sovereign immunity and related issues, including a $350 million bank facility, a $225 million tax-exempt commercial paper program, a $75 million senior note issue, and over $900 million in special revenue bonds.

Commercial+ Industrial Lending Team lawyer Michael Maglio recently co-authored the “Connecticut Commercial Lending Law” chapter in the book Commercial Lending Law: A Jurisdiction-by-Jurisdiction Guide to U.S. and Canadian Law (Third Edition, 2023), a publication of the American Bar Association (ABA) Business Law Section Commercial Finance Committee. The chapter provides commercial lenders, lawyers, and businesses a general outline of the laws in Connecticut governing various aspects of the state’s commercial lending laws. The book is in its third edition and was originally published in 2009. Michael also co-authored the “Connecticut Commercial Lending Law” chapter in the first and second editions. Christopher Hug, Emilee Mooney Scott, and Steven Boyajian provided valuable contributions to Michael for the third edition.
