Solving for Solvency: Problematic Make-Whole Provisions Defy Uniform Approach

American Bar Association Business Law Section's Business Law Today "Month-In-Brief: Bankruptcy & Finance"

The article addresses a new Fifth Circuit decision addressing the uncertain area of the proper treatment of claims “based on complex make-whole provisions in Chapter 11 cases.” The underlying concept of make-whole premiums is that if a borrower bays off a loan prior to its maturity date, the lender should be compensated for the never-earned interest due to the early payoff of the principal. However, as Mike writes, “these provisions have become much more intricate than that…(and) courts have struggled with how to treat these claims – as claims for unmatured interest that should be disallowed under Section 502(b)(2) of the Bankruptcy, or as something different that must be paid.” Mike serves as Vice Chair of the Section’s Business Bankruptcy Committee Task Force on Current Developments. View the article.
