Mergers + Acquisitions

Robinson+Cole lawyers assist public and private companies with the full range of corporate merger and acquisition transactions. Our clients include companies of all sizes, from technology startups to multinational corporations. We have experience assisting companies from various industries, such as manufacturing, construction, technology, and software. A significant part of our work involves cross-border transactions. We know how to accommodate simple transactions as well as those that require a significant degree of subject matter experience. We regularly work with clients with diverse needs and budgets.

Our Services 

Our lawyers assist with mergers, acquisitions, divestitures, joint ventures, leveraged buyouts, and going private. We collaborate closely with others in the firm to provide an integrated and customized response. According to our client's legal needs, we may draw on the firm's experience in tax; real estate; title and lease review; environmental due diligence; remediation; regulatory compliance; employee benefits, including qualified plans, severance plans, and post-retirement obligations; intellectual property and technology due diligence; licensing; assignments; security interests; and supply, distribution, and manufacturing contracts.

Antitrust and trade regulation compliance counseling is an important component of our mergers and acquisitions practice. We provide advice with respect to U.S. and foreign competition, notification, and review requirements, as well as pre-transaction information flow and strategic approaches to government concerns and responses.

We work with general counsel and in-house legal teams in flexible, shared-responsibility arrangements. Often, we are part of a transaction team working with one or more of a client's specialty and foreign law firms in areas such as antitrust, the Employee Retirement Income Security Act (ERISA), and tax.

Our Team

Our team includes lawyers with decades of experience handling complex mergers and acquisitions, and we have handled hundreds of these transactions.
