Tax

Our Tax practice group recognizes that taxes affect every aspect of the business environment, and we work collaboratively with Robinson+Cole practice groups across all areas of law.

Our experienced tax lawyers are highly regarded in their field, serving as adjunct professors at law schools, being appointed to government committees, and receiving various professional recognitions.

Our Services

We are committed to helping our clients understand and navigate the federal, state, and local tax consequences of all their business transactions. Our proficiency extends to mergers and acquisitions, bankruptcy, financing and securities transactions, spin-offs and buyouts, purchases and sales of real estate and other property, and capital market transactions.

We also represent clients in efforts to change state and local tax laws, in the state tax planning and representation of various transactions, and in connection with federal and state tax controversies, administrative appeals, and court appeals in both civil and criminal tax cases.

Our tax practice also includes advising on:

  • Cross-border business transactions and investments (inbound and outbound)
  • Taxation of financial institutions and financial products
  • Tax considerations of bankruptcies, debt workouts for both large public and closely held businesses
  • Structure and formation of unregulated investment vehicles

We also help our clients negotiate state and local tax incentives, and the content of state tax regulations and state tax rulings.

Our Team

Our Tax team members have substantial experience assisting clients in connection with a broad range of complex federal tax matters, including advice and planning with respect to business transactions, investment and financing structures, capital market transactions, and business arrangements that transcend state and national boundaries.

In addition to skillfully handling federal tax matters, we are pioneers in the practice of state tax law. Our state tax practice includes representation and advice on income, franchise, sales and property, and numerous industry-specific state taxes. Our state tax lawyers have been recognized in Connecticut and the United States by authoring and editing nationally recognized state tax journals, speaking at business and professional conferences, and acting as leaders within the tax sections of the American and state bar organizations.

Whether you are navigating federal, state, or local tax environments, our practice group leverages its legal experience to support your business interests

Securing An L-1 Blanket Petition

Representation of a New York City-based global management consulting firm to secure an approved L-1 Blanket petition. Converted the majority of its H-1B workforce to L-1B status at U.S. Consulates in India and China. This has allowed for more flexibility regarding staffing, compensation, and client service and no further concerns about H-1B dependency.

Denial of Pending PERM Application

Representation of a Connecticut-based global technology company concerning one of its employees who was denied a pending PERM application. The U.S. Department of Labor indicated that the company did not list all of its requirements on the PERM application even though the requirements were listed in the ad and that this was prejudicial to U.S. workers. Robinson+Cole refiled the PERM application and successfully argued that the requirements were in fact listed on the application as an alternative and that this was appropriate. The case was reopened relatively quickly, and the employee received her permanent resident status.
