Christine Bromberg is a member of our firm's Tax group, where she represents clients in connection with a broad range of federal income tax matters.

Tax

Christine provides clients with practical advice and strategy regarding U.S. federal income taxes. Her practice has a particular emphasis on mergers, acquisitions, joint ventures, workouts (in and out of bankruptcy), recapitalizations, divestitures, and spin-offs, as well as all forms of capital-raising activities. Her clients include domestic and foreign corporations, partnerships, and limited liability companies, ranging in size from start-up businesses to multinational public corporations. She works with clients across a broad range of industries, including manufacturing, technology, biotechnology, energy, retail, food and beverage, wholesale and distributors, aerospace, health care, and real estate and development.

Christine has significant experience structuring and negotiating complex joint ventures and other pooled investment vehicles on behalf of investors, investment funds, and real estate developers. She has advised on the tax aspects of syndicated loan transactions, derivative investments, and other financings on behalf of both lenders and borrowers. She also represents clients before taxing agencies in audits and administrative litigation at the federal, state, and local tax levels.

Christine has extensive experience guiding clients through their tax-related issues. She assisted a Singapore-based software developer with U.S. federal income tax matters involving U.S.-based internet and distribution activities, and she represented a multinational manufacturer and distributor of perfumes and beauty products in connection with its U.S. federal income tax planning. She represented The Nielsen Company LLC, a global information and measurement company, with several investment, merger and acquisition, and tax restructuring matters.

Exempt Organizations

Christine is co-chair of our firm's Exempt Organizations group. She has experience with the federal and state tax laws that apply to tax-exempt organizations. Christine has counseled a variety of exempt organizations, both private foundations and public charities, with respect to structure and formation, charitable gift planning, transactional matters, and unrelated business taxable income strategy and planning. She has represented exempt organization clients in connection with audits before the Internal Revenue Service and the tax aspects of joint ventures with for-profit entities.

Prior to joining Robinson+Cole, Christine was associated with Skadden, Arps, Slate, Meagher & Flom LLP and Shearman & Sterling LLP in New York City. She is a certified public accountant and an adjunct professor at the University of Connecticut School of Law, where she teaches a course on corporate taxation.

Represented Tradebe Life Sciences, a global business group dedicated to sustainability, in connection with its acquisition of Florachem, a leading provider of naturally derived, high-value concentrated fractions, extracts, and natural ingredients. The acquisition expanded Tradebe’s life sciences business and marked its entrance into the U.S market.

Represented a large privately held electrical supply distribution business in its sale to a private equity-sponsored buyer. The representation involved resolution of complicated 280G considerations and "applicable high-yield debt obligation" concerns with respect to debt financing.

Mergers + Acquisitions: Market Research Firm Acquisition

Represented a NYSE- and NASDAQ-listed company providing integrated financial information and analytical applications to the global investment community concerning its acquisition of a market research firm focused on advisor-sold investment and insurance products. Robinson + Cole advised the client on the tax risks and benefits of various transaction structures, designed and analyzed the tax and general corporate aspects of the pre-sale restructuring, and assisted in negotiating corresponding provisions in the purchase agreement relating to indemnities and purchase price adjustments. Robinson + Cole’s benefits group provided analysis on various 409A and 280G issues and developed various corrective actions, and advised on the design of the incentives and agreements for key employees.

Christine Bromberg Elected to Connecticut Children’s Medical Center Board of Directors

Tax partner Christine Bromberg was recently elected to serve on Connecticut Children’s Medical Center’s (Connecticut Children’s) Corporate Board of Directors. Connecticut Children’s is a leading pediatric medical center exclusively dedicated to the physical and mental health and well-being of children and their families through family centered care, research, education, and advocacy. In addition, she will also serve on the board’s Governance Committee and its Audit & Compliance Committee. Christine’s term begins on January 1, 2026, and goes through December 31, 2028. She previously served as Vice Chair of the Connecticut Children’s Medical Center Foundation’s Board of Directors for eight years.
