Jinhua (Anna) Wang, Partner in Charge of our firm's New York office, assists clients with capital markets and securities law, mergers and acquisitions, and general corporate matters. 

Capital Markets + Securities

Anna has years of experience working within the constructs of the Securities Act of 1933, the Securities Exchange Act of 1934, Blue Sky Laws, and rules of various markets and exchanges. She represents clients across a range of industries (including retail stores, banking, manufacturing, technology, and pharmaceuticals), from emerging to established companies, advising them on capital structure, securities offerings, and equity and asset sales and purchases. Anna has represented clients in numerous private and public financings, including private placements, private investment in public equity (PIPE) financings, initial public offerings (IPOs), and related transactions. She frequently represents international companies looking to enter the U.S. capital market.

She also counsels clients on compliance with various federal and state securities laws. She provides assistance with drafting and filing registration statements (such as Form S-1 and Form F-1) and periodic filings (such as Form 10-K, Form 10-Q and Form 20-F) with the U.S. Securities and Exchange Commission (SEC).

China Practice

Anna has more than 15 years of experience representing foreign issuers, including China-based companies, in their offering of securities, listing on U.S. stock exchanges and over-the-counter (OTC) markets, and maintenance of periodic filings with the SEC.

Corporate Law

Anna advises clients on various general corporate matters, such as issues related to entity formation, corporate governance and maintenance, bylaws, contracts, and shareholders’ meetings.

Mergers + Acquisitions

Anna guides companies of all sizes through merger and acquisition transactions, joint ventures, and buyouts.
