Rachel Jaffe Mauceri is a corporate bankruptcy and restructuring lawyer with more than 20 years’ experience counseling clients in complex bankruptcy and restructuring matters. She is known as a strong communicator and collaborator with a record of success in developing client relationships across disciplines.

Rachel participates in all aspects of domestic and international restructurings and has significant transactional and litigation experience in a range of industries, including retail, health care, pharmaceutical, agriculture, energy, automotive, oil and gas, mortgage servicing, real estate, and telecommunications. Rachel’s recent creditor committee representations include the chapter 11 cases of Aldrich Pump/Murray Boiler (affiliates of Trane), Mariner Health Central, Mallinckrodt plc, and Corp Group Banking S.A.  She has represented companies in pre-negotiated and traditional bankruptcy proceedings as well as out-of-court workouts; represented pension and health plans in connection with collective bargaining issues and proceedings under sections 1113 and 1114 of the Bankruptcy Code; advised indenture trustees and second lien lenders; represented financial institutions in the negotiation and documentation of secured lending facilities; advised stalking horse and other bidders in distressed and bankruptcy-related transactions; and advised vendors, contract parties and other significant creditors and parties in interest on a variety of bankruptcy-related issues.

Rachel is listed in Chambers and as a Notable Practitioner in the IFLR1000. She was recently named a 2024 Legal Advisor of the Year and was a recipient of the 2024 "Restructuring of the Year" award in the ($50MM TO $100MM), both in connection with the restructuring of Mariner Health Central Inc. and affiliates, presented at the 23rd Annual M&A Advisor Awards.

Rachel regularly speaks and writes on current developments in bankruptcy. She is the current President-Elect and a Board member of the Consumer Bankruptcy Assistance Project. Rachel is a member of the Board of Trustees of the Turnaround Management Association (Global) and former member of the Executive Board and a past Chair of the Global Network of Women (NOW) and the Chapter Presidents Counsel, as well as a member of the Board and former President and Chair of TMA’s Philadelphia/Wilmington Chapter.

Prior to joining Robinson and Cole, Rachel worked for two global law firms, in New York and Philadelphia, respectively, focusing on bankruptcy and restructuring matters. While in law school, Rachel interned for Judge Prudence Beatty Abram of the U.S. Bankruptcy Court for the Southern District of New York.

Although bankruptcy law is designed to facilitate debt repayment, it does so by modifying agreed-upon rights and obligations. This can have significant ramifications if parties fail to consider the consequences of a party to a commercial transaction filing for bankruptcy. The risks of insolvency often can be mitigated through familiarity with the bankruptcy process, proper planning, and the advice of competent insolvency counsel. A few practice pointers should be considered when addressing four typical commercial scenarios: (1) drafting and negotiating supply contracts; (2) entering into settlement agreements; (3) dealing with a contract counterparty’s bankruptcy; and (4) buying and selling distressed companies.
