Ryan Vines represents national and regional lenders in structured financing and multifamily and commercial real estate transactions.

He has represented borrowers, investment funds and developers in financing, refinancing, and developing commercial/residential properties, as well as institutional lenders in connection with portfolio, leasehold (both ground lease and master lease) and senior commercial/residential mortgage loan origination. Ryan’s experience includes representing public corporate clients in the both the direct and indirect disposition of real estate.

Prior to joining our firm, Ryan spearheaded an assignment to convert mortgage syndication loan documents into mezzanine syndication loan documents. He has tailored mortgage and mezzanine ancillary loan documents and organizational documents to support Tenancy in Common Investment (TIC) structures and negotiated TIC Agreements on behalf of lenders. In addition, Ryan oversaw the review of survey, title and zoning and finalization of supplementary agreements for a 46-property portfolio transaction secured by Commercial Mortgage-Backed Securities (CMBS) financing.

Ryan has drafted and negotiated New York legal opinions on behalf of borrowing clients. Additionally, he has managed construction consents, and drafted, revised, and negotiated ancillary loan documents, on behalf of a construction lender for a construction loan in New York City involving multiple layers of mezzanine financing. He has drafted summaries of loan documents and intercreditor agreement to assist in strategic planning for future loan modifications. His legal background includes negotiating consents on behalf of syndication lenders with general contractors, construction managers, engineers, and architects and converting documents for additional mezzanine financing.

In Ryan’s free time, he enjoys participating in community projects including a sustainability project designed to eliminate unused food waste from concert venues/sports arenas in an effort to support recycling initiatives and to provide leftover food to homeless shelters. He has also worked with his prior law firms to build recycling programs. Recently, Ryan has been involved with a program known as Independent Support Services to help support his local community members who are seeking a future in law.
