William J. Egan has over thirty years of commercial litigation and business law experience. He handles trials at the state and federal level, along with arbitrations and mediations, involving both domestic and international matters.

Bill counsels clients on issues concerning commercial business matters including technology related contracts, distributorship disputes, as well as real estate and commercial leasing-related matters. Bill is an arbitrator who serves on the American Arbitration Association’s panel of arbitrators, and he also represents clients in arbitration matters. Additionally, Bill is a lecturer on the topics of commercial litigation, commercial lease law, and commercial contract law.

Commercial, Business, + Technology Litigation

Bill has advised clients in a wide range of business disputes, including lawsuits and negotiations involving technology vendors, health care and medical organizations, banks, retailers and e-retailers, an international electrification and process automation company, an international cruise line, as well as other domestic, foreign, and international companies in their general commercial contract and business litigation. His experience includes trials in Massachusetts and Connecticut, where he is admitted in both the state and federal courts. Bill has prevailed in multiple commercial arbitration matters for clients as well as served as an individual and panel arbitrator for commercial arbitrations.

In addition to years of trial and arbitration experience, Bill has also successfully resolved, mediated and settled matters to when clients seek to avoid the significant time and expense of litigation, including quick resolution of numerous ADA website accessibility claims.

Recent examples of commercial litigation success include the defense of a client in a claim against successor liability claims arising from an asset purchase agreement.  Weinshel v. Southcoast Physicians Group, Inc., Docket No. 1973-CV-00378, Superior Court, Bristol County, Mass. (2021); aff’d. Weinshel v. Southcoast Physicians Group, Inc., Docket No. 22-P-685, Mass. App. Ct. (Rule 23 Order) (2023).

Franchise + Distributorship Litigation

Bill represents companies in franchise and distributorship disputes, including lawsuits, contract negotiations and disupte resolutions. The United States District Court of Massachusetts's decision in C.N. Wood Company, Inc. v. Labrie Environmental Group, Case No. 1:12-cv-11778 (D. Mass. 2013) is an example of a decisive ruling for our client. The ruling confirmed that as a manufacturer, our client was not liable to the plaintiff, who asserted claims under Massachusetts franchise law.  Mr. Egan has also served as a panel arbitrator for a multi-million dollar claim regarding ownership and claims involving multiple franchises of a national franchise operation.

Real Estate Litigation

Bill represents clients with regard to commercial real estate disputes including leasing disputes for commercial, retail and industrial property. He has handled lease litigation and dispute resolution for national and international retailers, commercial landlords, medical organizations and banking institutions. His representation in lease litigation matters includes successfully defending a large internet retailer against an overreaching landlord in an arbitration proceeding and prevailing in a JAMS arbitration enforcing a lease against a commercial tenant, and successfully obtaining a court order confirming the award over a multi-pronged motion to vacate the arbitration award.  Southcoast Physicians Group, Inc. v. Rapoport, 1873 CV 00991, Superior Court, Mass. (2021).

Pro Bono + Community Involvement

Kathryn Rattigan and Bill Egan Discuss CIPA Trap and Trace Litigation on SCG Global Spin

Data Privacy + Cybersecurity team partner Kathryn Rattigan and Litigation group partner William Egan guest hosted SCG Global Spin episode titled “Caught in the Net: Navigating Trap and Trace Demands and Regulations.” In the webcast, Kathryn and Bill discuss how the California Invasion of Privacy Act (CIPA) is crossing borders and affecting companies in Massachusetts—and around the country—as the decades old law is finding new relevance in the digital age due to plaintiffs arguing that website tracking technology and features fit the definition of a ‘trap and trace device’ under CIPA. “There’s been over 2,000 lawsuits filed under the CIPA statute,” said Bill before discussing ways to challenge or quickly resolve such claims. “If you do have different types of trackers on your website—marketing, analytics, functional—you want to have the ability for the user to open up a window and toggle certain things on and off,” said Kathryn. “There’s a lot of different software out there that can help.” “Global Spin” is SCG Legal's attorney-to-attorney webcast series focusing on key issues and conversations important to its members.
